2. Tiered Per-Play Return

Returns are calculated daily on the allocated machine’s verified plays:

Returns are variable and depend entirely on actual plays. There is no minimum, fixed, or guaranteed return.

3. Below-Average Top-Up (Limited Protection)

Primary returns remain tied to the allocated machine’s verified plays. To reduce extreme under-performance after random assignment:

  • The Company tracks a defined fleet pool average (e.g. average daily verified plays across the active shop fleet for the same period).
  • If the allocated machine’s verified plays for a settlement period are more than 20% below that pool average, the Company will apply a discretionary top-up so that credited plays for that period move toward the pool average.
  • This is not a full pool-average payout for all unit holders. It is a limited protection mechanism linked to the allocated machine’s shortfall versus the pool average.
  • Downtime days already covered by the 30 plays/day credit are handled under the downtime rule first.

4. Payment Terms

  • Returns are calculated from verified play data of the specific allocated machine. Daily play counts are recorded on blockchain. Zero-knowledge proofs may be used to verify totals without revealing raw player-level data.
  • Payment frequency: every 3 months (quarterly).
  • Payment methods:
    • USD by bank transfer to the unit holder’s nominated account, or
    • USDT to the unit holder’s dedicated digital wallet
  • Supporting play statements are provided with each quarterly payment.
  • KYC and valid payment details (bank account and/or USDT wallet) must be completed before the first payment.

5. Process After Payment

  1. Payment received — confirmation of buy-in and machine allocation
  2. KYC / documentation — identity verification, and issue of the electronic Unit Right Agreement
  3. Machine allocation — specific machine recorded against the unit holder
  4. Operation — Company operates the machine under its standard model
  5. Performance payments — paid according to verified plays and the tiered rates
  6. Month 11 — renewal rate for year 2 (if offered) based on machine popularity
  7. Term end — unit right expires unless renewed; no residual claim on the machine

6. What the Unit Includes

  • A 1-year contractual unit / participation right linked to one randomly allocated physical claw machine in the existing store fleet
  • The right to receive performance-based returns calculated from that machine’s verified plays (daily counts on-chain; ZK-verifiable totals)
  • Written confirmation of allocation and periodic play statements
  • Payment of amounts due under the tiered formula, subject to KYC and agreement terms
  • Downtime credit: if the allocated machine breaks down or is offline, 30 plays per day are credited for each full day of downtime (settled under the tiered per-play rates)
  • Below-average top-up: if the allocated machine falls more than 20% below the fleet pool average for a settlement period, the Company will apply a discretionary top-up toward that average (not a full pool-average payout)

7. What the Unit Does Not Include

  • No right to manage, operate, relocate, or control the machine
  • No voting rights, board representation, or involvement in Company decisions
  • No ownership of Company equity, brand, software, customer data, or store leases
  • No residual ownership of the machine after the term (unless a renewal is agreed)
  • No fixed, minimum, or guaranteed return
  • This is not a deposit, loan, note, or equity investment in the Company

8. FAQ

Q: What am I actually buying?

A 1-year Machine Unit Right — a contractual business unit linked to one physical claw machine in the existing store fleet. Machine assignment is random on a first-come, first-served basis. You participate in that machine’s verified plays. You are not buying company equity or permanent ownership of the hardware.

Q: What if my machine plays far below the fleet average?

Primary returns still follow your allocated machine. If verified plays for a settlement period are more than 20% below the defined fleet pool average, the Company will apply a discretionary top-up toward that average. This is limited protection after random assignment — not a full pool-average payout for every unit.

Q: What if my machine breaks down?

If the allocated machine is broken down or otherwise offline, you are credited 30 plays per day for each full day of downtime. Those credited plays are settled under the same tiered per-play rates. The Company will repair or restore the machine as soon as reasonably practicable.

Q: Is my return guaranteed?

No. Returns are performance-based only. They depend entirely on the actual number of plays on your allocated machine. There is no fixed, minimum, or guaranteed payment.

Q: How is my return calculated?

Using a tiered per-play rate on your machine’s verified daily plays:

  • Plays 1–50: USD 0.15 per play
  • Plays 51–100: USD 0.10 per play
  • Plays 101+: USD 0.05 per play

Example (106 plays in a day):
50 × 0.15 = USD 7.50
50 × 0.10 = USD 5.00
6 × 0.05 = USD 0.30
Daily total ≈ USD 12.80
If that daily level were sustained for 365 days: ≈ USD 4,670 / year on a USD 1,000 unit buy-in.

Primary totals are based on the allocated machine. If it falls more than 20% below the fleet pool average for a settlement period, the Company will apply a discretionary top-up toward that average (not a full pool-average payout). Player spend averages about RMB 6 per play (≈ USD 0.89). Examples are illustrative only.

Q: What if my machine has fewer plays than expected?

Your quarterly payment will be lower. There is no top-up, floor, or compensation for low activity. This is a real business-unit risk, not a deposit product.

Q: How often do I get paid, and how?

Every 3 months. You can receive USD by bank transfer to your nominated account, or USDT to your dedicated digital wallet. Play statements are provided with each payment.

Q: Can I extend after year 1?

Yes, subject to the Company’s renewal offer. In the 11th month, a renewal rate for a further 1-year term is determined based on that machine’s popularity. Extension is optional for the unit holder.

Q: How do I know the play counts are real?

Daily play counts are recorded on-chain. Zero-knowledge proofs can be used to verify totals without exposing raw player-level data. You also receive periodic statements for your allocated machine.

Q: Do I operate the machine myself?

No. The Company (or its operator) runs day-to-day operations — maintenance, prizes, campaigns, and player experience. You hold the unit right and receive performance-based participation.

Q: Can I buy more than one machine unit?

Yes. Each machine is a separate unit at USD 1,000 buy-in. You may hold multiple units, each with its own allocated machine and play-based calculation.

Q: Do I own the machine after the term?

No. When the term ends, the unit right expires unless you renew. The machine remains with the Company. Renewal for a further year may be offered at a rate based on that machine’s popularity, determined in month 11.

Q: Is this a securities investment or company shares?

No. This is a private contractual unit / participation arrangement linked to a specific machine. It does not confer equity, voting rights, or ownership of the Company’s brand or assets.

Q: What due diligence should I do?

Review the Unit Terms, understand that returns are variable, complete KYC, and seek independent legal, tax, and financial advice if needed before applying.

That Agreement is an electronic agreement: it is issued and delivered electronically, takes effect when the buy-in is paid in full, and requires no handwritten or digital signature to be valid or binding. Distribution is intended on a private, invitation basis and is not marketed as a public offer.
